We will also have the Ministry of Economy, Trade and Industry and related administrative agencies\u2014which created a system for issuing confirmation letters and generated investor trust through administrative confirmation\u2014explain regarding review, investigation, revocation, notification of victims, and relief.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">The lawyer's explanation showed \"cancellation of an investment contract due to third-party fraud\"<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><a href=\"https:\/\/blog-minato-tora.com\/angel-tax-system-fraud-cancellation\/\" target=\"_blank\" rel=\"noopener noreferrer\">Explanation of the Angel Tax System and Cancellation of Investment Contracts by Attorney Yoshitora Sato<\/a>Then, a hypothetical case is introduced where someone invested after being explained by a management consultant that it was a company eligible for the angel tax system, but in reality, it did not meet the target requirements.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The article explains that even if the person who actually made the false explanation is not a party to the contract, the investment contract may be rescinded if the investee company knew of the fraud or could have known had it exercised due care.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">Article 96, Paragraph 1 of the Civil Code: A manifestation of intention induced by fraud or duress may be rescinded.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Paragraph 2 of the same Article: If a third party has committed fraud regarding a manifestation of intention to the other party, such manifestation of intention may be rescinded only if the other party knew or was able to know of that fact.<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">In the case involving Company N, a structure with an even stronger connection to the company than in this hypothetical scenario is at issue.<\/p>\n\n\n\n<ul class=\"wp-block-list is-style-check_list\">\n<li>Defendant Nakano Tamaki explained the details of the angel tax system together with Company N to the investors as a single package.<\/li>\n\n\n\n<li>Defendant Nakano explained to the effect that he had already confirmed with the Ministry of Economy, Trade and Industry, prefectures, and other administrative agencies.<\/li>\n\n\n\n<li>Satoshi Saito was involved in explaining the system, contracts, capital contribution procedures, and remittances as a certified public accountant.<\/li>\n\n\n\n<li>Regarding Company N, a confirmation certificate for the angel tax system has been issued by the prefecture.<\/li>\n\n\n\n<li>Investors decided to make a large investment, relying on administrative verification and the expert explanation of a certified public accountant as credible evidence.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Even if Mr. Saito was formally an external expert of Company N, if Company N, Defendant Nakano, and Mr. Saito held continuous meetings and used the same solicitation materials, the same system explanations, and the same remittance procedures, the escape route for Company N to claim it was unaware of Mr. Saito's explanations becomes extremely narrow.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In the first place, if Defendant Nakano himself explained the application of Company N's system and the administrative confirmation, it is not a simple third-party fraud.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Direct fraudulent inducement by the investee company is at issue.<\/p>\n\n\n<div class=\"swell-block-postLink\">\t\t\t<div class=\"p-blogCard -internal\" data-type=\"type1\" data-onclick=\"clickLink\">\n\t\t\t\t<div class=\"p-blogCard__inner\">\n\t\t\t\t\t<span class=\"p-blogCard__caption\">\u3042\u308f\u305b\u3066\u8aad\u307f\u305f\u3044<\/span>\n\t\t\t\t\t<div class=\"p-blogCard__thumb c-postThumb\"><figure class=\"c-postThumb__figure\"><img decoding=\"async\" src=\"https:\/\/globalunion-grp.org\/okami\/wp-content\/uploads\/2026\/07\/87fc59da-3a2d-4036-b70b-c6814056a01d-300x169.png\" alt=\"\" class=\"c-postThumb__img u-obf-cover\" width=\"320\" height=\"180\"><\/figure><\/div>\t\t\t\t\t<div class=\"p-blogCard__body\">\n\t\t\t\t\t\t<a class=\"p-blogCard__title\" href=\"https:\/\/globalunion-grp.org\/okami\/en\/archives\/425\" target=\"_blank\" rel=\"noopener noreferrer\">Questioning a &quot;Hostage Justice&quot; System That Fails to Investigate Defendant Nakano Shukki&#x27;s Solicitation<\/a>\n\t\t\t\t\t\t<span class=\"p-blogCard__excerpt\">An interrogation by the Yokohama District Public Prosecutors Office pressing Shigenori Kanemoto that he \"had no intention to invest\"? sell?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">What the investors purchased was not merely private equity.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Defendant Kazuki Nakano and Mr. Satoshi Saito sold an investment product that combined shares of Company N, tax incentives through the angel tax system, administrative confirmation, expert explanations by a certified public accountant, and future business development.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the actual nature or tax qualification of Corporation N at the core of this matter was fundamentally different from the explanation provided at the time of solicitation, the very premise of the investment decision collapses.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is said that at least the following explanations were given as important matters for investors to consider when making decisions.<\/p>\n\n\n\n<ul class=\"wp-block-list is-style-check_list\">\n<li>Company N is a company eligible for the angel tax system.<\/li>\n\n\n\n<li>I am checking the handling of the system with the administrative agency.<\/li>\n\n\n\n<li>It has undergone confirmation procedures by the prefecture.<\/li>\n\n\n\n<li>Satoshi Saito, a certified public accountant, explains that there are no institutional problems with the system.<\/li>\n\n\n\n<li>This is a legitimate capital increase, and the investors will become shareholders of N Corporation.<\/li>\n\n\n\n<li>Company N has a business plan and substance sufficient to receive investment.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If the National Tax Agency and the prosecution claim that this investment was a return scheme without substance from the beginning, it means that Defendant Nakano and Mr. Saito made a non-existent or unsubstantial investment product look genuine through administrative confirmation and professional qualifications, thereby raising a large amount of funds.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is more natural to investigate this as a fraud case involving the acquisition of money from investors rather than a tax evasion case on the investors' side.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">Article 246, Paragraph 1 of the Penal Code: A person who deceives another person and causes them to deliver property shall be punished with imprisonment for not more than 10 years.<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">What is necessary to consider the crime of fraud is not limited to the conversation after the investor's contribution.<\/p>\n\n\n\n<ul class=\"wp-block-list is-style-check_list\">\n<li>What did defendant Tamaki Nakano and Mr. Satoshi Saito explain before the investment?<\/li>\n\n\n\n<li>Which part of the explanation was contrary to the facts?<\/li>\n\n\n\n<li>Did both of them know the explanation was false?<\/li>\n\n\n\n<li>Did the investors make their investment relying on that explanation and administrative confirmation?<\/li>\n\n\n\n<li>Which account the investment funds went into, under whose instructions, and what they were used for.<\/li>\n\n\n\n<li>Who ultimately benefited economically?<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If the Yokohama District Public Prosecutors Office reverses this order, extracts only the investors' words to make them accomplices, and fails to investigate the business activities of Defendant Nakano and Mr. Saito, it will mean sending the victims to the defendant's chair and placing the recruiters in the case commentator's chair.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">If the investment was due to fraud, I demand the full restitution of the invested amount.<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If a declaration of intention regarding an investment is rescinded on the grounds of fraud, it is legally treated as having been invalid from the beginning.<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p class=\"wp-block-paragraph\">Article 121 of the Civil Code: An act that has been rescinded shall be deemed to have been void ab initio.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Article 121-2, Paragraph 1 of the Civil Code: A person who has received a performance as the fulfillment of an obligation based on a void act has the obligation to restore the other party to its original state.<\/p>\n<\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">Therefore, if the investment contract or share subscription was established through fraud, the investor will return the acquired shares and other rights while demanding the return of the full investment amount from Company N.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is not simply a matter of saying, \"Compensate us for the amount by which we failed to receive tax breaks.\"<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the entire decision to invest in Corporation N was created by false statements, it becomes an issue to rescind the investment contract itself and restore the state prior to the investment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Furthermore, as damages resulting from fraudulent inducement, the following claims are also subject to consideration.<\/p>\n\n\n\n<ul class=\"wp-block-list is-style-check_list\">\n<li>Full refund of invested capital.<\/li>\n\n\n\n<li>Default interest until return.<\/li>\n\n\n\n<li>Professional fees required to amend or correct tax returns.<\/li>\n\n\n\n<li>Consulting fees, referral fees, and other related expenses paid in reliance on false explanations.<\/li>\n\n\n\n<li>individual property damage caused by fraudulent solicitation<\/li>\n\n\n\n<li>Damages against Defendant Nakano, Mr. Saito, N Co., Ltd., and other co-conspirators.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Even if Corporation N does not have sufficient financial resources for repayment, there is no need to end the claims there.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is necessary to organize the causes of action, such as joint tort, corporate officer liability, professional liability, and others, regarding those involved in solicitation, false explanations, contracting, remittance, fund management, and profit acquisition, and to trace the actual funds and assets.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">A confirmation letter is not a universal guarantee, nor is it a piece of paper that confirms nothing.<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Ministry of Economy, Trade and Industry and confirmation administration might explain that \"the confirmation letter does not guarantee the company's future potential or all transactions.\"<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, it is a completely different story that the confirmation letter does not guarantee the company's future profits and that the administrative confirmation had no influence whatsoever on the investors' judgment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><a href=\"https:\/\/www.chusho.meti.go.jp\/keiei\/chiiki\/angel\/application\/index.html\" target=\"_blank\" rel=\"noopener noreferrer\">Angel tax system procedures guided by the Small and Medium Enterprise Agency<\/a>Here is how it works: the startup applies to the prefectural government, the prefecture issues a confirmation letter to the startup after verifying it, and the startup then hands that confirmation letter over to the investor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The confirmation document is not a private-sector pamphlet in which the government has no involvement whatsoever.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is an official document issued as a result of a company submitting materials regarding regulatory requirements and payments to the government, and the government confirming certain matters.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If defendant Nakano Shukki and Mr. Satoshi Saito used that administrative confirmation to bolster the credibility of their investment solicitation, the government cannot simply evade responsibility by claiming, \u201cWe do not know how it was used after the confirmation was issued.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">From the victims' perspective, the current structure looks like this:<\/p>\n\n\n\n<ul class=\"wp-block-list is-style-check_list\">\n<li>Defendant Nakano TSUKIKITSU explains that it is an investment confirmed by the administration.<\/li>\n\n\n\n<li>Satoshi Saito reinforces the explanation and procedures as a certified public accountant.<\/li>\n\n\n\n<li>The confirmation administration issues a confirmation letter to N Co., Ltd.<\/li>\n\n\n\n<li>Investors rely on credit created by three parties and make investments.<\/li>\n\n\n\n<li>When it becomes an incident, the Ministry of Economy, Trade and Industry and the confirmation administration avoid answering.<\/li>\n\n\n\n<li>The national tax authorities build their own version of the case, and prosecutors pursue the investors.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If the administration issued the confirmation document while knowing about the false application, the investigative authorities must investigate the conspiratorial involvement of Defendant Nakano, Mr. Saito, and the administrative officials.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the administration verified it without knowing it was false, the responsibility for review and relief remains: what did they review, why couldn't they detect it, what did they investigate after the discovery, and why are they not notifying investors?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Even if you know, you are still responsible. Even if you don&#x27;t know, you are still accountable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">No matter how things turn out, there is no third option of \u201cI\u2019m not in a position to answer.\u201d<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">It\u2019s not just investors who have already invested\u2014potential investors are also important evidence of the damage.<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Not only the people who actually invested in N Corporation are parties concerned with this matter.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">There are still many people who were solicited by Defendant Kazuyoshi Nakano and were considering investing while being shown administrative confirmations, explanations by certified public accountants, tax-saving effects, business plans, and the like.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These prospective investors are not simply \u201cpeople who did not invest.\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">They are people who possess extremely important third-party evidence showing to whom, when, and what kind of explanations were given, which materials were used repeatedly, and through what sales methods trust was built.<\/p>\n\n\n\n<ul class=\"wp-block-list is-style-check_list\">\n<li>Emails, LINE messages, and social media messages explaining that Company N is eligible for the angel tax system.<\/li>\n\n\n\n<li>Explanatory materials stating that confirmation was made with the Ministry of Economy, Trade and Industry, Tokyo Metropolitan Government, prefectural governments, tax offices, etc.<\/li>\n\n\n\n<li>System explanation given by Satoshi Saito as a certified public accountant.<\/li>\n\n\n\n<li>Confirmation letter, application materials, business plan, stock materials, copy of investment contract.<\/li>\n\n\n\n<li>Date and time, location, attendees, referrer, and seminar participants of the recruitment.<\/li>\n\n\n\n<li>The proposed investment amount, tax effects, refund, reinvestment, transaction, and other conditions.<\/li>\n\n\n\n<li>The reasons for deciding not to invest, and the explanations that seemed unconvincing.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">If many people received the same explanation, it is not a misunderstanding that occurred by chance with a single investor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is a pattern of repeated and systematic solicitation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">According to leaked investigative information, N Co., Ltd. is said to have approximately 40 investors and shareholders. Furthermore, if we include prospective investors who had progressed to the point of being on the verge of investing, the number of individuals subject to protests, cancellations, refund requests, and claims for damages may be even higher.<\/p>\n\n\n<div class=\"swell-block-postLink\">\t\t\t<div class=\"p-blogCard -internal\" data-type=\"type1\" data-onclick=\"clickLink\">\n\t\t\t\t<div class=\"p-blogCard__inner\">\n\t\t\t\t\t<span class=\"p-blogCard__caption\">\u3042\u308f\u305b\u3066\u8aad\u307f\u305f\u3044<\/span>\n\t\t\t\t\t<div class=\"p-blogCard__thumb c-postThumb\"><figure class=\"c-postThumb__figure\"><img decoding=\"async\" src=\"https:\/\/globalunion-grp.org\/okami\/wp-content\/uploads\/2026\/07\/87fc59da-3a2d-4036-b70b-c6814056a01d-300x169.png\" alt=\"\" class=\"c-postThumb__img u-obf-cover\" width=\"320\" height=\"180\"><\/figure><\/div>\t\t\t\t\t<div class=\"p-blogCard__body\">\n\t\t\t\t\t\t<a class=\"p-blogCard__title\" href=\"https:\/\/globalunion-grp.org\/okami\/en\/archives\/580\" target=\"_blank\" rel=\"noopener noreferrer\">To Makoto Watanabe, Satoshi Saito, Defendant Tamaki Nakano, and 40 others: \"The same law, under the same standards.\"<\/a>\n\t\t\t\t\t\t<span class=\"p-blogCard__excerpt\">Launch of PACE and GEAC: The issues surrounding Japan\u2019s public prosecutors and the National Tax Agency have moved beyond the stage where only domestic labor unions and victims are pursuing them. Arrests, physical restraint, and interrogations carried out by public prosecutors, the National Tax Agency, and other administrative authorities\u2026<\/span>\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t<\/div>\n\n\n<p class=\"wp-block-paragraph\">What the Yokohama District Public Prosecutors Office should do is not distribute the same arrest warrant application to these 40 people.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Visiting an investor and a prospective investor one by one to hear what they were told by Defendant Nakano and Mr. Saito.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Even though we\u2019re asking for confirmation right now, the Ministry of Economy, Trade and Industry is dodging the issue by saying the matter is \u201cunder investigation.\u201d<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Prosecutors\u2019 Union is not asking the Ministry of Economy, Trade and Industry about the prosecution\u2019s confidential investigations, planned arrests, or the details of the evidence.<\/p>\n\n\n\n<p
